PRESS RELEASE


                 RESULT OF VOTING AT THE MEETING OF THE EQUITY

            SHAREHOLDERS OF THE COMPANY HELD ON 28TH NOVEMBER, 2005.


Pursuant to the Order dated the 28th day of October, 2005, passed by the High
Court of Judicature, Bombay  in Company Application No.685 of 2005, a meeting of
the Equity shareholders of the Company was held  on 28th November, 2005 for the
purpose of considering and if though fit approving with or without modifications
the Scheme of Amalgamation  of  Damodhar Cement & Slag  Limited with The
Associated Cement Companies Limited.


The Result of the voting for approving the Scheme of Amalgamation was as
follows:-


1.   Number of   Ballot forms                                                               128

2.   Number of members voting in favour of the Scheme                                       119

3.   Number of members voting against the Scheme                                            NIL

4    Number of invalid  Ballot Forms                                                         9

5.   Votes in favour of the Scheme of Amalgamation.                                     9,49,57,032

6.   Votes against the Scheme of Amalgamation.                                              NIL

7.   Percentage of members voting in favour of the Scheme of Amalgamation                  100%

8.   Percentage of votes in favour of the Scheme of Amalgamation.                          100%



The Scheme of Amalgamation of Damodhar Cement & Slag  Limited with The
Associated Cement Companies Limited is accordingly hereby declared as approved
by the shareholders with the requisite majority.


The Report of the Result of the Poll will be submitted by the Chairman to the
Hon'ble High Court.
