On July 27, 2018, the Securities and Exchange Commission charged Howard M. Appel with manipulating the stocks of three microcap companies while on supervised release following his criminal conviction for a prior securities fraud.

According to the SEC's complaint, Appel orchestrated multiple schemes to manipulate the market for trading in shares of Virtual Piggy Inc., (VPIG), Red Mountain Resources Inc. (RDMP), and Rio Bravo Oil Inc. (RIOB), and concealed his activity by using overseas associates and nominee brokerage accounts. The SEC's complaint alleges that Appel secretly acquired ownership or control over sufficient shares of the companies so that he and his associates could manipulate their stocks through coordinated trading activity. As alleged in the complaint, Appel kept tight control over the trading and engaged in matched trading with his associates. In one instance, Appel allegedly sought to coordinate artificial bidding activity to prevent the price of RDMP from dropping, emailing instructions to his associates: "Have ur guy for 12500 at .87 and another 7500 at .85 in case we get hit by selling today. (My guy above that bidding .87)." In another example in the complaint, Appel sold 200,000 shares of RIOB to accounts controlled by one of his associates overseas in a series of matched trades that accounted for 80 percent of the reported volume on RIOB's second day of trading.

The SEC's complaint, which was filed in federal court in Pennsylvania, charges Appel with violations of Sections 17(a)(1) and 17(a)(3) of the Securities Act of 1933 and Sections 9(a)(1), 9(a)(2), and 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5(a) and (c) thereunder. Appel has agreed to settle the SEC's charges. Appel will be barred from serving as an officer or director of a public company. The court will determine monetary sanctions and other relief at a later date.

On the same day, the U.S. Attorney's Office for the Eastern District of Pennsylvania also announced a parallel criminal action against Appel.

The SEC's investigation was conducted in the New York office by Rhonda Jung, Melissa Coppola and Adam Grace under the supervision of Lara Shalov Mehraban. The litigation will be led by Preethi Krishnamurthy and Ms. Jung. The SEC appreciates the assistance of the U.S. Attorney's Office for the Eastern District of Pennsylvania and the Federal Bureau of Investigation.

Yeah I'm out too.. never did recd the ATM card that you are suppose to get when you sign up and with all the other electronic wallet type services the more I thought about the less excited I got... its geared towards minors I thought I like that but again the more I thought about it and teaching the value of money to children again the less enthused i was... Also, I didnt even recd the Oink card I order with 50 dollars I put on it.. the money was not taken put of my acct but something is wrong with the sign up process.. This stock has been very quiet.

U made a good call at $1.70ish. I was the April fool :p I'll buy all the shares I can at these levels, it's down now but not for long.

Patient shorts getting rewarded with VPIG. Slowly scaling out of my position.

Ya good luck with that gash, this will be $2+ by the end of the month. Run out of money? Not likely, they'll just raise more $$$ with their multi-billion dollar investors who own millions of shares in the company. April 1st come at me and we'll see whose the fool.

Revenue is down! Q3 revenue was $1,382. Q4 revenue (annual - Q3) is $1,074. ( that's dollars, not thousands!)
Annual report gave NO indication of increase in users over Q3.
VPIG will be out of cash by June.
Time to exit at a good price!

We'll seeing as they have already released that they have over a million users at this point shows that they've doubled the amount of people using their product since that last quarterly report showing this thing is starting to catch on. Yes I agree they haven't made any real money up until now and that is a concern but I believe this little piggy may be headed in the right direction with the rapid signing of new users and the deal with Discovery. I think there is a definite market for their product and believe that a large technology, bank or credit card company would be interested in taking vpig over. The worlds changing and it's getting harder and harder for companies to do business with underage customers without catching crap, these people have a solution to problem that is just going to become more prevalent as time goes on. Not to mention the priceless exposure to self directed finance that would never be taught to our children, friends children or grandchildren anywhere else especially not in the schooling system. Love it or hate it, either way it's a great idea, I see it going places and so do others based on recent sp activity.

If only Oink could somehow convince it's growing subscriber base to actually use the service and generate revenue, then VPIG might one day become a target or takeover.
Until then, you seem to be justifying a market cap of $192 million on the fact that they have gathered email addresses (subscribers) of lots of people who visited the site.

I believe that is the duty/responsibility, or at the very least; it is incumbent on one who so graciously dispenses "reality checks", that he has (at-the-very-least) a familiarity with reality himself, or perhaps herself, considering the op's moniker.

Conventional valuation metrics (such as revenue, earnings and cash flows) are rarely considered in the on-line space. Instead, the metric that the market bases stock pricing on is subscriber/users, and data.

Seen from this perspective, the picture becomes clearer and more understandable. As Oink! grows its subscriber base, they become a more attractive acquisition target for a company looking to expand its user base and increase engagement in the company's ecosystem.

Potential acquirers of companies like Oink, rely more on a gut feel than numbers. If they feel there is a strategic niche that can be filled by acquiring a nascent company, they will pay market price and higher. Right now, market mood and momentum favors high valuations, as we have have witnessed over and over again.
