Well I still sold my 1 share. Was tired of looking at it. Sometimes we must move on.

10-Q today. Revenue $804K compared to $398K previous quarter. $488K Gross Profit compared to $99K previous quarter. Net Income +$56K compared to -$560K previous quarter

It's a completely different company now, and has been for like 6 years. It's actually a profitable company that also hasn't been diluting

Sold the POS at Market LOL. Tired of looking at it for the last 17 years. Same as Bitcoin, it has no value, only what others perceive it to be. Imaginary hope. Can't even remember where I received that one share. Good riddance !

Rev/Profits will go back up again. Says why right in the 2/16 filing. Definitely a good buy here. Gonna sit on the bid, in case more people didn't read the whole filing and sell their shares after reading just the numbers only

The decrease is attributable to the timing of project work being completed, and also the revenue being recognized for direct expenses (media, influencer fees, etc.) attributable to jobs. These fluctuations in work accomplished and revenue being recognized for direct expenses are normal occurrences in our business. During this transition period, the Company primarily worked on completing current projects while awaiting finalized client workorders and statement of work for upcoming year 2024 projects. Item 1.01 Entry into a Material Definitive Agreement.


As disclosed in CoConnect, Inc.’s (the “Company”) Form 8-K filed on February 17, 2010 with the United States Securities and Exchange Commission, certain convertible promissory notes (the “Notes”) issued to several noteholders (the “Noteholders”) in the total principal amount of $84,057 went into default due to nonpayment. Following default, the Company received demands from the Noteholders for the repayment of all principal and interest due thereunder. Considering the current financial condition of the Company, including the unavailability of adequate cash or assets to resolve the amounts due and payable under the Notes, the Company believes the default under the Notes may have a material adverse effect on the Company’s financial stability and its ability to continue as a going concern.

On February 24, 2010, following discussions with the Noteholders, the Noteholders agreed to waive the default and payment of all principal and interest due and payable under the Notes. Pursuant to the terms of such waiver, (i) the default interest rate under the Notes was to remain in effect and accrue until full repayment of the Notes, and (ii) the maturity date of the Notes was extended to March 10, 2010. The Company is currently using its best efforts to explore options available related to the repayment and/or retirement of the Notes.

I wouldn't read too much into the NITE movement. I might be able to move Nite in the over $1 area if I wanted.

Yuppers, that Def14A only laid the framework for what they might do - it does nothing to define what they really will do.

So it appears they are Definitively undecided. Maybe they'll do both splits. LOL!

No - then they would have to cash you out for your shares - instead of doing that they are rounding your shares upward.

NITE went to $55 on ASK now

And the roundup sucks too, next whole share. 1.5 post split = 2 shares.
What if I would end up with 1.49999999 post split, would that be 1?

Exactly, the Def14A is ANYTHING but DEFINITE - it leaves it wide open

My point is one is risking $11 to buy 1 shares of stock

Will they actually do the RS/FS - time will tell

Huge potential for a very nice return with very little risk

My other point is that by the time they actually decide what they are doing (on the daily list) - just before that - NITE will move the ask to $1001 or some other ridiculous amount and not allow more people in on the RS roundup/FS play.

Agree with you here. Filing or PR? Maybe not. They could well argue that they already have had a Def14A filing.

IMO the thing to look for is a presense on the daily list.

They could even try to sneak in on the last update for the day.

In any case you should have a chance to buy once it hits the daily list-

The only question there is will NITE be at $1001 and it be too late?

Thanks, I found the fractional roundup is in the filing, so that part isn't speculation. But whether or not a RS and/or FS ever take place is still speculation because the board hasn't made their "discretionary" decision to do so yet.

I think it's logical that they will do something (otherwise why put the RS/FS language in there).

They have to PR that decision or put it in a filing, right?

check the filings they discuss how rounding will be handled (rounding up) - they are totally open on the magnitude in the filings

The DEF 14C doesn't specify what type of split they are doing, it just says that at their discretion to do a RS and/or FS at different levels (1-10, 1-20, 1-50, 1-100, 1-250, 1-500, 1-750, 1-1000).

It does state that they "shall be determined by the Board at a later time and at anytime until the next meeting of the Company’s shareholders ".

Did you call the company and find out more info on the RS and/or FS details? Or are you just speculating at this point that 1 share will be reversed to a fractional share and then rounded up to 1 whole share, and then forward split to 10-20-50-100 etc. shares?

I still own 100 shares from the last roundup deal, and i'm wondering if it would be better for me to sell 99 of them.

pinksheets now shows 1.01 but had showed 1001 as had AT
