History: The vast majority of the restricted shares were held by Frank Neuperger and Simrex. This ticker was rehabilitated by Frank. Simrex (owned by Frank's wife) had large receivables against the previous company (AWSI) that went under. Frank petitioned for custodianship of the ticker, got it, and paid off those other companies with claims using shares. He rewarded himself with 15M shares and Simrex held 1M. Those are restricted according to filings. He then sold those shares to Hongmei Sang who now controls the ticker. Hongmei changed the ticker to BTNY and changed the name to "Beite Energy Corporation". According to filings, the float is only 5.2M shares.

The company that is anticipated to be merged into this produces sands and other products used in fracking. Website:

If someone was looking for a SS to do a bunch of dilution on then they wouldn't have bought AWSI with nearly all the shares either outstanding or acquired in the deal. This structure would allow a very quick uplist for a strong company with no need for share splits or any of the normal games.

Have you done any DD on the purchaser and their advisor? The attorney/banker representing them Lowy is as legit as they come. Decades of experience in RM's, Uplistings, SPAC's, traditional mergers, etc. He has done several foreign OTC RM's and Uplistings you can go to his law firms site and read about them but he's done Billons in deals. So perhaps get some facts before you start with the FUD.

Choi, you have now idea WTF you are talking about. 1st of all I’m the largest non insider holder of the stock and have been since the initial filings in September, 2nd if I was going to dump on anyone it would have been last week when the other morons that jumped in from that YouTube swing trade guy but instead I added even more on their dumps as did Davinci. Do you really think we would have bought in even bigger in the $1’s if we were just going to dump it right back again when I already had a ton of shares already? Every one in the discord is fully aware of my and others expectations for this stock, what our DD tells us. More importantly everyone in the discord understands how I intend to trade this and how I recommended they did. If you were there you heard me tell them not to buy and chase it in the mid twos even though I felt there was upside rhe risk was too high at that point of it and it felt like their would be a pullback and Davinci told them same thing. If we were just going to P&D don’t you think we would have just told them to keep buying while I dumped them? If we were going to dump on them wouldn’t we just do it then? They all know are exit plans and it’s not to dump it on anyone but will take profit and reduce risk along the way. This is only prudent because even the best DD on these is never 100% perfect and things do happen. We also know like every OTC it will reach a much higher level tab where it settles back to so why hold it all when you can buy back cheaper? I trimmed less than 10% of my position in the mid 2’s and bought double that back in the low $1’s. There is a huge difference between P&D’s and providing verifiable DD with stated assumptions and full transparency as best I can. It’s just like a Stock a research report or company PR sometimes it makes a stock get bough and others take profits. If the risk is too high for you don’t buy it but your false allegations are unnecessary and only go to show you wished you had gotten in earlier. Every single person with possibly a few exceptions has had the opportunity exit 1-2x there initial investment and some 10x if they wanted to and some very well did but most understanding the potential have held on to most of it. My experience usually tells me that when someone starts screaming P&D it’s because they have something they are trying to P&D themselves and don’t want anyone looking elsewhere or to think that they would P&D them.

That's a Korean company I actually wanted to get in at .50. But it took off before I ever could. It also was the entire crypto company that came in, so it's different from awsi. But I could see where you're making the comparison with a low s.s and a possible foreign company with assets/revenues coming in...

I am doing proper d.d, outside of contacting the former directors. I never had access to any of Franks
correspondence, so how is one suppose to have any clue of the connection if they haven't talked to Frank for example?

Okay, suppose it's the director of
Panzhihua, Hongmei Sang, who allegedly owns 20% of that company. That's wonderful. You have a legitmate Ceo that has ties and owns a stake in a big company from China. But you still don't know how much of that company is coming in, or if any at that. It might be something entirely different. To assume otherwise is just speculation.

But if it is indeed the Hongmei Sang from Panzhihua, who owns 20% of that company, then you definitely have something there imso...

So... First of all.. ALL of those RMs were done by very shady people. Meihux Xu was in charge of all of those. He is a well known scammer.

Look up the lawyer in charge of THIS reverse merger.

Old CEO / owner Frank told me directly to look up who the new CEO is and the SOLE board of directors that she is on.

Hongmei Sang, on the board of directors for Panzhihua Bingyang Technology Ltd. (that is the ONLY board of directors that she's on) She owns 24% of the company.

Also look into the lawyer John B Lowy... He has 40 years of experience with reverse mergers and is extremely well reputed.

Beite will most likely be their western name, as most westerners won't be able to remember or pronounce their chinese name. This is common.

Panzhihua has 110M in assets, 50M in revenues, and 10M in profits in 2021. Their net profits have increased exponentially YOY since 2019 thanks to reduced operating costs.

The closest comparison I can give is $MTRT, which also started from 0.10 - It hit $10 at its peak. Very similar in that the incoming company bought 70% of the company right off the bat, which reduces the need for any dilution.

Please, PLEASE do your PROPER DD on this before you make any assumptions and try to denigrate this stock.

More often than not, these chinese r/m in the otc don't turn out to be anything big. A lot of them turn out to be scams, over hyped, or share selling schemes. Plus things take longer as communication is always a barrier and Finra takes closer look at these which takes longer for them to process...

But I don't think it's Panzihuhua. They just came out with filings today and the new company is going to be called Beite Energy Corporation.

I found some companies with that name in relation to energy and technology. Most of them were in China and I didn't dig enough to find all of their websites. Here's just a small sample that was easily accessible. But this is going to be like finding a needle in a haystack. Hope this helps out for whatever it's worth.
