AMINEX PLC
Aminex PLC ("Aminex" or the "Company"), the oil and gas company whose shares are
listed in London and Dublin, announces that it has signed two agreements with
Bounty Oil & Gas NL of Perth, Western Australia ("Bounty"), a company listed on
the Australian Stock Exchange (symbol BUY).
Under the first agreement, Aminex will subscribe for 9 million new shares in
Bounty at a price of Aus$0.15 per share issued by Bounty under existing
authority. The cash consideration is Aus$1,350,000, being approximately
Sterling #550,000 or Euro 800,000, at current exchange rates. As a consequence
Aminex will hold approximately 9.7% of the enlarged issued share capital of
Bounty. Under this agreement Aminex will also have a first right of direct
participation in future work on Bounty's existing exploration portfolio. Aminex
will further receive 3.4 million options for no additional consideration
exercisable at Aus#0.20 each for five years. An Aminex representative is to be
appointed to the board of Bounty.
Under the second agreement, Bounty will participate in Aminex's ongoing Nyuni
drilling operation offshore Tanzania with a 10% working interest, contributing
its share in cash.
Bounty was founded in 1999 and floated on the Australian Stock Exchange in 2002.
In a short time the company has built up an extensive range of exploration and
production prospects in Australia and New Zealand, onshore and offshore. In
Australia it produces gas from the Woodada Field and has exploration interests
on the Northwest Shelf, in the Perth Basin, Surat Basin, Sydney Basin and
Carnarvon Basin. It also holds acreage in the Great Southern Basin of New
Zealand,
Commenting on the agreements Brian Hall, Aminex Chief Executive said
"We welcome this relationship with Bounty, the strategic acquisition of which
will provide Aminex with exposure to several upcoming drilling plays in various
regions of Australia and New Zealand and, immediately, to an indirect interest
in the Leafcutter no. 1 well in the onshore Perth Basin area of Western
Australia which is operated by Hardman Resources and currently being drilled.
At the same time we are very pleased to have Bounty as co-venturer in our
ongoing exploration effort in Tanzania."
