( 1)  Pursuant to the LIN TV Corp. Offer to Exchange Outstanding Stock Options for New Stock Options, Mr. Pausic surrendered a total of 103,333 options on a one-for-one basis in exchange for new options granted under our Third Amended and Restated 2002 Non-Employee Director Stock Plan.
( 2)  The new options vest in three (3) equal annual installments on each of the first, second and third anniversaries of the June 2, 2009 grant date.
