Explanation of Responses:
( 1)  These shares are restricted stock granted under the Jackson Hewitt Tax Service Inc. Amended and Restated 2004 Equity and Incentive Plan in connection with the special incentive plan adopted by the Board of Directors on May 12, 2010, as previously reported in the Company's Current Report on Form 8-K filed May 18, 2010. All shares vested on April 30, 2011. The dispostion of shares reported in this Form 4 was in satisfaction of tax withholding obligations resulting from the required stock vesting. Shares not disposed of to settle tax withholding obligations continue to be benefically owned by the Reporting Person.
( 2)  24,210 of these shares are restricted stock subject to time vesting and 10,504 of these shares are restricted stock subject to performance-based vesting, each as granted under the Jackson Hewitt Tax Service Inc. Amended and Restated 2004 Equity and Incentive Plan.
