Director Resignation and Appointment of New Member to Audit Committee

Dr. Yingyi Qian recently resigned from the board of directors and audit committee of Vimicro International Corporation (“Vimicro”) for personal reasons. Mr. Victor Yang, a current member of the board of directors has replaced Dr. Qian on Vimicro’s audit committee.

Vimicro continues to meet the SEC and NASDAQ corporate governance guidelines as relating to board composition following Dr. Qian’s resignation.
