( 1)  (1) Disposed of pursuant to the agreement and plan of merger among the issuer, Genesys Telecommunications Laboratories, Inc., and Sonar Merger Sub Inc.
( 2)  (2) At the effective time of the merger, each option was cancelled in exchange for a cash amount equal to the net value of the exercise price and merger consideration.
( 3)  (3) At the effective date of the merger, each restricted stock unit vested in full and was converted into the right to receive a cash amount equal to the merger consideration.
