                         Purchase of Shares by Trustee


Under the Warner Estate Holdings 1995 Share Option Scheme ("the Scheme"), the
Trustee of the Scheme purchased 10,000 Ordinary shares of 5p in the Company at
310p per share on 30 September 2002.

Following this purchase, the Trustee is interested in 503,706 shares,
representing 0.99 per cent. of the Company's issued ordinary share capital.

The Executive Directors of the Company are deemed to be interested in these
shares.
