                            Director's Shareholding


Following the transfer to him of 6,819 Ordinary shares of 5p in the Company
under the Company's Long Term Incentive Plan on 24 July 2002, Mr. P C T Warner,
the Chairman of the Company, has today sold those 6,819 shares at 326.5p.

Following the sale of the 6,819 shares, Mr Warner is interested in 883,005
shares, representing 1.73 per cent. of the Company's issued ordinary share
capital.

Mr Warner's other interests in the shares of the Company are unchanged.
