                   WARNER ESTATE HOLDINGS PLC ("WARNER")

                 CHAIRMAN'S COMMENTS AND RESOLUTIONS PASSED

At the Annual General Meeting and subsequent Extraordinary General Meeting of
Warner Estate held today, all resolutions were duly passed including those to
approve the acquisition of Winglaw Group Limited and to adopt new Articles of
Association.

Commenting  at  the  meetings,  Mr  Philip  Warner, Chairman of Warner Estate,
said:-

" Our property activity since the year end has continued apace.  We have taken
advantage of the strong property investment market and I am looking forward to
reporting  in detail on this with our interim results to 31  March  2000.  The
Winglaw  acquisition,  which  we should now  complete later  this month,  will
provide us with a  further portfolio of properties to which  I believe we  can
add value through our approach  to active management, both  in the second half
of the current year and beyond."
