Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 409,168 ordinary shares of 12.5p each
("shares") to be admitted to the Official List.



It is expected that admission will be granted on 15 June 2004 and trading will
commence on 16 June 2004.



These shares are being issued as a result of the exercise of share options under
the Woolworths Executive Share Option Scheme and will rank pari passu with the
existing issued ordinary shares.
