Notification of Interest of Director in Shares of Woolworths Group Plc

On 12 September 2001 following the announcement of the Company's Interim Results
2001, Gerald Corbett, Chairman of Woolworths Group Plc purchased for his own 
account 500,000 Ordinary Shares at a price of 29.5p per share. This holding 
represents 0.04% of the issued share capital of the Company and is Mr Corbett's 
total holding.

The purchase was made following written clearance to deal given by the Company 
in accordance with The Model Code.

The disclosure to the Company by Mr Corbett of his interest in shares of 
Woolworths Group Plc was made today in compliance with Section 324 of the 
Companies Act 1985 and in line with The Model Code.
