    Director Shareholding

    On 25 June 2008 as a result of transactions by Oxonica plc UK Employee Benefit Trust, pursuant to the Oxonica plc UK Share Incentive
Plan (an all employee share purchase plan approved by HM Revenue and Customs) (the "SIP"), Kevin Matthews and Richard Clarke, directors of
the Company and trustees of the SIP, increased their notifiable interest to 87,004 Ordinary Shares in the capital of the Company.

    The following executive directors of the Company have the interests set out below as a result of their personal participation in the
SIP:-

continued employment and the retention of the underlying Partnership Shares.
