Warrant Issuance Programme

Eastbridge Investments Plc announces that it has entered into a warrant issuance programme (the "Warrant Programme") with its Corporate Broker, Peterhouse Corporate Finance Limited ("Peterhouse"). The Warrant Programme has been created in response to investor interest to allow for the regular issue of new ordinary shares of no par value in the Company ("Ordinary Shares").

In connection with the Warrant Programme, Peterhouse has entered into a warrant instrument with the Company pursuant to which Peterhouse may subscribe for up to 1,500,000,000 new Ordinary Shares at any time between 4 January 2016 and 4 January 2018 (the "Warrants"). The Warrants may be exercised in whole or in part and notices of exercise will be aggregated and issued once per calender month, on the third business day of that month. The exercise price for the Warrants will be the 30 day average closing bid price of the Ordinary Shares leading up to the date of each exercise notice. An indicative 30 day average bid price per Ordinary Share will be quoted on JP Jenkins, the unlisted securities platform operated by Peterhouse.

Eastbridge will issue an announcement in the first week of every month with details of how many Warrants, if any, have been exercised during the preceding month, the number of resultant Ordinary Shares being issued by the Company, the issue price and the proceeds of the issue. Application will be made for the Ordinary Shares arising from each Warrant exercise, if any, to be admitted to trading on AIM as soon as practical after the third business day of each month.

The Company currently has 427,175,955 Ordinary Shares in issue and if exercised in full, and presuming no other issues of equity, the Ordinary Shares arising from the Warrants would represent 77.8 per cent. of the enlarged share capital of the Company.
