Directorate Changes

3rd July 2008 - Celoxica Holdings plc (AIM: CXA) - a leading provider of accelerated, low latency computing solutions, today announces
that Jack Fryer, non-executive Chairman, will be retiring from the Board with immediate effect. Non-executive Director, Jean-Marc Bouhelier,
will take over the role of non-executive Chairman.

Since joining the Board as non-executive Chairman in 2001, Mr. Fryer has overseen the listing of the Company on AIM in 2005, and the
subsequent evolution of Celoxica. He has played an important role in the successful refocusing of the Company towards providing accelerated
computing solutions to the financial services sector.

The Company also announces that David Cheesman, non-executive Director, will also be retiring from the Board with immediate effect. Mr.
Cheesman joined the Board in 2001 representing Advent Venture Partners, one of Celoxica's original venture capitalist investors. Following
his retirement from Advent in 2007, he remained as a non-executive Director through the Company's transitional period.

Lee Staines, Chief Executive of Celoxica commented, "We would like to thank both Jack and Dave for their important contributions to the
