The Board of Capcon Holdings plc ("the Company") received notification on 18th
April 2002, in accordance with sections 198 to 210 of the Companies Act 1985 (as
amended), that as a result of the change in issued share capital of the Company
on 17th April 2002, Singer & Friedlander Trust's holding of 437,500 ordinary
shares in Capcon Holdings plc now represents 5.901 per cent. of the Company's
issued share capital.
