The Board of Capcon Holdings plc (the "Company") announces that the Company
has issued 33,332 new ordinary shares in the Company to a private investor at
a price of 75 pence per share. This issue price is at a premium to yesterday's
closing mid-market share price of 60.5 pence per share.



Application is being made to the London Stock Exchange for the new ordinary
shares to be admitted to trading on AIM. It is expected that the new ordinary
shares will commence trading on AIM on Wednesday 10 October 2001.
