      ("Holdcim"/"Acquirer") to the  shareholders of
      the Associated Cement Companies Ltd., ("ACC"/"Target Company")

We would like to inform you  that M/s DSP Merrill Lynch Ltd., who are the
Managers to the above mentioned Open Offer, have issued a Public Announcement on
9th March, 2005 that they have filed a draft  Letter of Offer with SEBI (the 
"Regulator") and SEBI's observations are yet to be received and are awaited,
hence, there is a delay in the earlier announced Schedule of Activity and the
revised Schedule of Activity will be announced separately.

The other Terms & Conditions of the Offer remain unchanged.
