                            ("ACI" or the "Company")

                             RESULT OF AGM AND EGM

On 23 July 2004 Advance Capital Invest plc announced the acquisitions of
Imagesound Limited ("Imagesound"), TTL Music Limited ("TTL") and Rolec Limited
("Rolec"); three complementary businesses involved in the supply of licensed
instore music, radio and TV services to the retail and leisure sectors.

At the Annual General Meeting and Extraordinary General Meeting of ACI, which
took place earlier today, all resolutions put to shareholders to effect the
Acquisitions and the Placing were duly passed.

Among the resolutions passed at the EGM were resolutions to enable the Company
to raise #3,000,000 through the placing of 15,000,000 ordinary shares of 10p
("Ordinary Shares") at 20 pence and issue of 36,900,000 Ordinary Shares
(together being the "New Ordinary Shares") as consideration for the
Acquisitions.

The change of the Company's name to Imagesound plc (ticker: ISD) and admission
to AIM of the New Ordinary Shares is expected to occur on 18 August 2004.

national, regional or even individual outlets. Research has shown that instore
music and messaging can increase dwell times and influence purchasing decisions
in store.
