the sec did not ask any questions of the company and unless the sec decides to sue for further damages, you will not hear from them again. now , in order to get off the greys is finra matter.

yes, the process is the same for all suspended companies.

I don’t know of any other process, but if what you say is true, they could fast track it.

Is the process the same even though the suspension via covid19 affiliation is what triggered the move to greys? Is there any other recourse the company can pursue?

An MM needs to file a 2-11 with FINRA to resume trading. MM will need a year or two of verifies fins from the company to vouch for them. Once approved...off greys and back on Pinks. This sounds pretty easy, but very rarely occurs.

Actual trading seems to have begun. $.075 is now down to $.02 with a $.01 low. Trading on the greys without a Bid/Ask is pretty risky.

What needs to happen for this to come off the greys?

Trading should resume today. The grays is the Wild West of stocks so care should be taken.

The Company owes $1,000 to Jinglan Dong, the former CEO.



The Company has entered into a loan from XS Capital, LLC. for a credit line of up to $150,000. The CEO was a minority member of XS Capital, LLC at the time of the transaction. As of April 30, 2019 and 2018, the balance owed on the line of credit is $53,947 and $53,947, respectively. As of January 31, 2020 there is $5,209 of accrued interest on this loan. The line of credit is currently past due.



As of January 31, 2020 and April 30, 2019, the Company owed iVest, Inc., a minority shareholder in the Company, $76,000 and $76,000, respectively. The loan is unsecured, accrues interest at 5% of the balance at the end of the fiscal year and matures January 31, 2019. As of January 31, 2020, there is $6,930 of accrued interest due on this loan. This loan is currently past due.



On February 5, 2019, the Company acquired a line of credit for up to $3,000,000 with Marjax Property Management. LLC. The line of credit is unsecured, bears interest at 3% over prime, compounded annually, and matures on January 31, 2024. As of January 31, 2020, there is $65,000 and $2,189, of principal and interest, respectively due on this loan.



Other current advances from related parties represent advances from a shareholder, advances from a Corporation with common management and advances from a party related to a shareholder. The advances are without interest and have no specified repayment terms. These advances totaled $100,919 and $95,932 on January 31, 2020 and April 30, 2019, respectively.

On February 13, 2020, the Company issued to each of its seven outside directors and Chief Financial Officer 250,000 restricted shares and options to purchase 250,000 shares at an exercise price of $0.03 vesting on February 13, 2021.

Just as an aside, thought I would check to see what the FINRA Report says about the Shorting that has been going on because there are so few shares in the market. I think it is around 16M if I remember correctly what I read in the FORM 10.

What is important to know is that the Market Makers are not intentionally NAKED SHORTING the stock. When they do not have shares or can't find shares to borrow, they still have to meet the Market Demand and put shares into your account for what you have purchased. This is why some of your trades take so long to go through. So have patience if that happens.

Their Technology is perfect for something line the COVID 19 Virus. I think now that the COVID 19 Virus came out of nowhere that with their technology everyone will want to sign up and have constant information about their health and that their Doctor can see what is going on with them before they even possibly know.

No one is paying a bit of attention. If anyone had looked they would have seen that they filed their FORM 10-12G on the 24th of February.

That means as they stated in their Press Release on March 10th that they performed a Full Audit of their Financials and submitted it with their Form 10-12G. They also have a Market Maker Sponsor in their FORM 10. So that means dollar land in the near future.
