Item 8 Other Events.

On April 24, 2023, Healthier Choices Management Corp. (“HCMC”) issued a press release that included frequently asked questions (“FAQs”) and applicable answers related to HCMC’s spin-off of Healthy Choice Wellness Corp., HCMC’s natural foods grocery and wellness business. In particular, the FAQs relate to the upcoming record date and steps necessary to be eligible for HCMC’s dividend of common stock of HCWC.
