Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 10, 2011, Calvin D. Meeusen was elected to the board of directors of Capitol Bancorp Ltd. (“Capitol”) and will serve on the audit committee.  Mr. Meeusen is a certified public accountant and has served on the board of directors of certain banking subsidiaries since 1995.  He currently serves as a member of the board of directors of Capitol’s largest banking subsidiary, Michigan Commerce Bank.
