Explanation of Responses:

1. Registrant transferred 17,000 shares of common stock owned directly to the Mary E. Duelks 2007 Revocable Trust and 131 shares of common stock owned directly to the Robert N. Duelks 2007 Revocable Trust. Registrant is a trustee of the Trusts. Balance reflects direct ownership of 19,515 Deferred Stock Units granted to Registration under Broadridge's 2018 Omnibus Award Plan and represents a like number of shares of Broadridge common stock which will settle in shares of Broadridge common stock upon the director's separation from service with Broadridge.

2. Registrant transferred 17,000 shares of common stock directly owned to the Mary E. Duelks 2007 Revocable Trust. Registrant is the Trustee of the Trust.

3. Registrant transferred 131 shares of common stock directly owned to the Robert N. Duelks 2007 Revocable Trust. Registrant is the Trustee of the Trust.
