INFORMATION CONTAINED IN THIS FORM 6-K REPORT.

On January 3, 2019, Nasdaq notified China Lending Corporation (the “Company”) that it did not comply with the annual meeting requirement for continued listing on The Nasdaq Capital Market set forth in Listing Rules 5620 (the “Rule”). Based on the Form 6-K filed on February 26, 2019, the Company’s annual meeting of shareholders was held on February 26, 2019. Accordingly, Nasdaq has determined that the Company complies with the Rules and the matter is now closed.
