Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 116,383 Ordinary shares of 12.5p each ("shares") to be
admitted to the Official List.

It is expected admission will be granted on 04 April 2005 and that trading will
commence on 05 April 2005.

These shares are being issued as a result of the exercise of share options under
the Woolworths Group plc Executive option Scheme 2001 and will rank pari passu
with the existing issued ordinary shares.
