                              Directorate Changes 
Southern Bear plc ("Southern Bear" or the "Company") announces today the 
appointment of Mr. Michael Anthony Clough, aged 56, as Finance Director of the 
Company. Michael underwent his professional training with Deloitte LLP and 
joined Southern Bear in September 2008 as Financial Controller. This followed 
senior financial positions in Ruberoid plc and Tarmac plc. 
David Parsons and Neil McGowan are both standing down from their respective 
positions of Finance Director and Non-Executive Director at the Company. David 
is retiring on medical grounds from full-time working.  He will continue to be 
available to the Company for a limited period of time in order to assist with 
the hand over to Michael. 
Nigel Wray, Chairman of Southern Bear, commented: 
"I wish David and Neil well in the future and would like to thank them for their 
considerable input as Finance Directors to the Group in succession one to the 
other and as the Group has grown over recent years.  I am delighted to welcome 
Michael to the Board and know from experience that he will continue to prove a 
valuable asset in his new role."

Mr. Clough resigned as a director of Xdale Limited on 5 May 2005. Receivers were 
appointed to this company in November 2000 and it was subsequently dissolved in 
September 2006; 
 
Mr. Clough resigned as a director of Wavis Engineering Development Co Limited on 
5 May 2005. Receivers were appointed to this company in November 2000 and it was 
subsequently dissolved in November 2006; 
 
Mr. Clough resigned as a director of Fennedale Group Limited on 5 May 2005. 
Receivers were appointed to this company in November 2000 and it was 
subsequently dissolved in October 2006; 
 
Mr. Clough was appointed as a director of Red Woodlands Limited on 30 March 2007 
and resigned on 17 December 2007. This company never traded and was dissolved in 
August 2008; 
 
Mr. Clough was appointed as a director of Xdale Fabrications Limited on 1 March 
1998. This company was dissolved via a voluntary strike off in August 2001; 
 
Mr. Clough was appointed as a director of Dex Systems Limited on 1 March 1998. 
This company was dissolved via a voluntary strike off in July 2001; 
 
Mr. Clough was appointed as a director of Fennedale Engineering Limited on 1 
March 1998. This company was dissolved via a voluntary strike off in August 
2001.
