Further to the Offer made by FN Herstal SA ("Herstal") for the entire issued and to be issued share capital of Manroy, the full terms and conditions of which are set out in the Offer Document sent to shareholders on 25 April 2014, (the "Offer Document"), Manroy is pleased to announce that at its General Meeting held earlier today, the resolution to approve the payment to Maher Limited ("Maher") of $500,000 in satisfaction of the obligations of Manroy USA LLC to make such payments to Maher, subject to the terms of an agreement dated 27 March 2014 between the Company and Maher (the "Maher Advance"), was approved.

The ordinary resolution to approve the Maher Advance was passed on a poll by Independent Manroy Shareholders as follows:

Next Steps

Completion of the Offer by Herstal remains subject to the satisfaction, or waiver by Herstal of the remaining conditions of the Offer as set out in the Offer Document. Details for acceptance of the Offer are contained in the Offer Document and the Form of Acceptance; acceptances for the Offer should be received by Capita, registrars to the Offer, by no later than 1.00pm (London Time) on 16 May 2014.
