   Foresight VCT plc and Foresight 2 VCT plc 
 
   Update on possible merger between Foresight VCT plc and Foresight 2 VCT 
plc (the "Companies"). 
 
   Since the announcement on 4 August 2015, the Boards of the Companies 
have received advice on the proposed regulatory changes affecting 
Venture Capital Trusts including the timing of implementation and the 
impact they are likely to have on the future management of Venture 
Capital Trusts. Although there can be no certainty that the proposed 
changes are in final form until the grant of Royal Assent to the Finance 
Bill 2015 the Boards of both Companies believe in view of the 
clarification they have received that it is now in the interests of all 
shareholders in the Companies to progress towards agreeing terms for the 
merger. The Boards expect to write to both sets of Shareholders with 
respect to the proposed merger by early November.
