The Board of Capcon Holdings plc ("the Company") announces that on 18th April
2002 the Company issued 38,500 new ordinary shares in the Company to a
non-executive director, Karine Luckraft, at a price of 65 pence per share.

Application is being made to the London Stock Exchange for the new ordinary
shares to be admitted to trading on AIM. It is expected that the new ordinary
shares will commence trading on Thursday 25th April 2002.
