Re.  Extraordinary General Meeting.

We would like to inform you that by an Order made on the 5th day of August,
2005, the High Court of  Judicature  at Bombay has directed that a Meeting of
the Equity Shareholders of the Company be held for the purpose of considering
and if thought fit, approving  with or without  modification, the Scheme of
Amalgamation  of  Bargarh Cement Limited with The Associated Cement Companies
Limited.


In pursuance of the said Order and as directed  therein a Meeting  of the Equity
Shareholders of the Company will be  convened and held on Thursday, the 8th day
of September, 2005 at 3.30 p.m. at Birla Matushri Sabhaghar, 19,Sir Vithaldas
Thackersey Marg, Mumbai - 400 020.


The abovementioned Scheme if approved at the meeting  will be subject to the
subsequent approval of the Court.
