11.1 GP1 shall not at any time assign, transfer or dispose of its interest in the PLC Sub-Notes
without the prior written consent of the Parties.
11.2 LBHI shall not assign, transfer or dispose of its interest in the PLC Sub-Debt:
👉️(a) on or before 15 December 2024, in any circumstances; and
(b) on and from 16 December 2024, unless:
(i) the assignee or transferee of LBHI’s interest agrees to be bound by the
terms of this Agreement; and
(ii) each of GP1 and DB (in the case of DB, only if it then holds 10% or more
of the ECAPS in issue) have consented to such assignment or transfer,
such consent not to be unreasonably withheld or delayed. LBHI, GP1 and
DB each agree that it shall not be reasonable to withhold or delay consent
if the proposed transfer, assignment or disposal by LBHI of the PLC Sub-
Debt is for value, save for if there is a genuine demonstrable risk that the
assignment or transfer could undermine this Agreement or that the
proposed assignee or transferee intends to breach, undermine or take
action inconsistent with this Agreement.
11.3 DB shall not assign, transfer or dispose of its interest in the ECAPS, including the ECAPS
Deeds of Guarantee, unless the relevant assignee or transferee has agreed to be bound
by the terms of this Agreement as if it were DB.
11.4 If at any time after the Effective Date DB acquires any right, title and interest to any
additional ECAPS or ECAPS Deeds of Guarantee, then such additional holdings or
interests shall be subject to the terms and conditions of this Agreement as if DB held such
right, title and/or interest on the Effective Date.

Just telling you what happened. No confusion on my end. At the end of my conversation with Schwab, the guy told me, AFTER I BITCHED, THAT MY STOCKS WOULD STAY IN MY ACCOUNT.

A. He could be a liar.

B. He could be a moron.

C. Schwab could take them anyway.

D. Who the fk knows with these a holes.

I did a follow up email. Just as JW did and suggested.

I don't trust these trading places
Never did. Will just have to check my account every once in a while. See if they take them or leave them. It's all I can do. And remember, when this guy checked the cusip. HE TOLD ME IT WAS LEHNQ. A CAP TRUST.

So that's what I dealt with.

I got an email from Schwab (as did others with Schwab accounts) that the Commons & LEHJQ and the Preferreds CUSIPS (I Have LEHPQs) are going to disappear from the accounts. TIA & GLTU.

Passing on what the transfer dept. at Schwab told me - after hours on the phone, mostly on hold - it was that they doubted that transferring My J's over to another broker would do much good in the end, since the threatened removal was not their in-house policy but the result of a new SEC ruling to the effect that all securities that have been non-transferable - or haven't had a transfer agent - for 6 years were to be removed from all brokerage accounts automatically. They hinted that Fidelity simply hadn't caught up with this yet but it was only a matter of time.

It has been my conclusion that (while We' wait) that the Class 10-B's ... the CT's ... are supported by "Capital Assets" ... while the Class 11's and Class 12's were considered to be "equity participations" in LBHI ...

I have agreed with Both Joyce and TooGood ... as well as Swiss moving into 2025' ...

TooGood, with his application of the NOL's use, made available, needing a Class 11 (LBHI equity preferred offerings) and a Class 12 (LBHI original commons) equity recovery to be in a position to use those massive tax advantages as a forward going concern'

and,

Joyce, with her memory, mirroring my own of the reference to the "One Big Share" ... (Class 11's and Class 12's) ...

now, my own opinion only, ... IMO, LBHI is using the DTC as its Voting Agent, just like WaMu ... (Weil, setting this up, is the same) ...

My understanding is that all preferred and common shares were long ago put into the "one big share" pot. So they are untradeable for the DTCC. It probably makes them difficult to move. So I know trust is hard these days for many reasons, and if or when, these shares are owed something in the future after Lehman is reorganized, there is a record of your shares in the DTCC. Unless you don't trust the new administration. Just my thoughts. No problem with my CT's.

Goodie, the last time I read and/or heard the words EXIGENT CIRCUMSTANCES was from Joseph McMahon. Thanks go to poster, vitellom for this information. McMahon told Judge Mary Walrath (I believe in December of the year 2009) that he had Exigent Circumstances that required an (EC) Equity Committee to administer the WaMu Chapter Eleven Delaware Bankruptcy cases which made attorney Brian Rosen extremely adversarial to claimants.

So, my guess is this could be the potential signoff needed to pay those investors who signed timely releases by March of the year 2012 for eventual resolution and closing of the WaMu Receivership. This action coupled with other dots that have been connected makes this a very real possibility!

I just went through the whole rigamarole on the phone with Schwab with the same result: they told me I have to find another transfer agent who will take them within 48 hours, or they're gone. I've got over 11,000 Js. Any recommendations on another online broker who's good and could take them? Much obliged.

11. SUCCESSORS
11.1 GP1 shall not at any time assign, transfer or dispose of its interest in the PLC Sub-Notes

11.2 LBHI shall not assign, transfer or dispose of its interest in the PLC Sub-Debt:
👉️(a) on or before 15 December 2024, in any circumstances; and
(b) on and from 16 December 2024, unless:
(i) the assignee or transferee of LBHI’s interest agrees to be bound by the
terms of this Agreement; and
(ii) each of GP1 and DB (in the case of DB, only if it then holds 10% or more
of the ECAPS in issue) have consented to such assignment or transfer,
such consent not to be unreasonably withheld or delayed. LBHI, GP1 and
DB each agree that it shall not be reasonable to withhold or delay consent
if the proposed transfer, assignment or disposal by LBHI of the PLC Sub-
Debt is for value, save for if there is a genuine demonstrable risk that the
assignment or transfer could undermine this Agreement or that the
proposed assignee or transferee intends to breach, undermine or take
action inconsistent with this Agreement.
11.3 DB shall not assign, transfer or dispose of its interest in the ECAPS, including the ECAPS
Deeds of Guarantee, unless the relevant assignee or transferee has agreed to be bound
by the terms of this Agreement as if it were DB.
11.4 If at any time after the Effective Date DB acquires any right, title and interest to any
additional ECAPS or ECAPS Deeds of Guarantee, then such additional holdings or
interests shall be subject to the terms and conditions of this Agreement as if DB held such
right, title and/or interest on the Effective Date.
