When comparing the SpinDx to other drug detection devices, are we able to answer the following questions:

- Will the SpinDx device be the most comprehensive drug testing device on the market? With 64 potential tests on 1 disk, is there anything else on the market that is capable of testing that many different drugs?

- Will the price of $25 per disk/test be the most cost effective price on the market? Any idea what the other drug testing devices charge per test?

- Will the SpinDx device be the only drug detection device that is able to measure levels of impairment and produce quantitative results?

- Is the SpinDx device the only device that we know of that will collect a sample and get the results locally within minutes? Is there anything else on the market that can produce results from a saliva sample in less than 10 minutes?

As of today, does cocaine, opiates, fentanyl, amphetamine, methamphetamine, morphine, MDMA, and benzodiazepines have any known cut-off limits for driving while intoxicated and/or on the work clock?

Marijuana: With marijuana, most people find that their usage becomes evident within 1 hour after consumption and remains so up until around 24 hours later when tested using cotton swab method or similar techniques.
Cocaine: Cocaine on the other hand shows up almost instantly in saliva samples post-consumption and generally stays identifiable for roughly one day afterwards.
Opiates: For opioids such as heroin or prescription painkillers like oxycodone/hydrocodone; they typically become noticeable between 5-10 minutes following intake while remaining visible anywhere from a few hours up till two days thereafter depending upon various factors including frequency & quantity used among others.

For oral fluid tests, does each drug of abuse being tested for have a slightly different window of detection and a different cutoff limit?

I believe Lifeloc plans to charge $25/disk/test. I think this is more than reasonable if as a police department, I can get a quantitative result for a panel of various drugs of abuse with reliable results in less than 10 minutes.

The key factor here is the cut-off limit for THC. Oral fluid tests provide a much more recent window of detection vs blood, urine, hair, etc... Along with this cut-off limit is where Lifeloc's device really shines, compared to other oral fluid tests. Since Lifeloc's device gives a quantitative result, it can give a much more accurate result for recent use. Currently, the DOT has set the cutoff limit for THC at 4ng/ml.

I believe individual states will begin to follow the DOT ruling, and set similar limits for their states. The test results will then be used in a similar manner as results from an alcohol breathalyzer. If the concentration is above the limit, you will be considered under the influence, if below, than not..

Quick question: We know the purpose of the marijuana breathalyzer was to discover recency of drug use. Do we have any idea if the SpinDx device is being developed for recency of use? How long will the drugs show up in my system for if I am tested with the SpinDx device? I don't want to get pulled over and show a positive result if I smoked yesterday or did a line of coke a week ago. Any idea on how that's going to work in regards to detection of recent use?

I believe that the disc is only going to be temporarily produced by the large, microfluidics company, with some of the money recently acquired being used to provide manufacturing capability to develop the discs in house.

This most likely enables Lifeloc to hit the ground running, with a small batch manufacturer in place, which will provide the discs for rollout, until their manufacturing facility is ready for full-scale production - which will be the most cost effective for Lifeloc, and give them a more adaptive, in house means for future development and production, of discs with the capability to detect other drugs of abuse, such as methamphetamines, cocaine, fentanyl, Heroin, etc...

Lifeloc Technologies will also be exhibiting at the County Sheriffs of Colorado 50th Anniversary Winter Conference & Vendor Show in Loveland, Colorado, on January 22nd.

In the latest PR from Lifeloc they state, "Lifeloc expects the analytical disk to be produced and supplied in small quantities by a large international microfluidics company."

Some of the top companies leading the microfluidic immunoassay industry for medical testing include Abbott Laboratories, Roche Diagnostics, Bio-Rad Laboratories, QIAGEN, and Thermo Fisher Scientific. Wouldn't it be nice to one day wake up to the headline that Lifeloc Technologies will be working with Abbott Labs to produce an analytical disk for their new and innovative SpinDx drug detection technology.

Thanks for the clarification. You are right about the warrants being the 281k, but I think the other $1m plus is what they would like to raise in addition. The warrants for quarterly instead of monthly payments don't add up to the $1m and I don't think they would count that since it's unlikely (hopefully) that they would end up issuing more warrants.

It appears that the FORM D is totally inclusive of the Diamond Bridge Deal. The total amount sold is the $750,000 loan + 62,500 warrants ($281,250) = $1,031,250. The total remaining sold reflects the terms of the debenture agreement, where Lifeloc has the option to pay quarterly interest, in lieu of monthly payments. If they do this, they must issue Diamond Bridge more warrants as described.

Manner and Time of Payment. The Subordinated Debt shall be payable as follows: (a) Borrower shall make
quarterly interest-only payments in the amount of $15,468.75 per quarter on March 31, 2025, June 30, 2025, September 30, 2025, and December 31, 2025; (b)
beginning January 31, 2026, Borrower shall make monthly payments in the amount of $9,198.95 per month, reflecting principal plus interest based on the
amortization schedule attached hereto as Exhibit C, calculated on the basis of a 10-year amortization period; provided that Borrower shall have the right to
make interest payments quarterly instead of monthly upon notice to Lender and provided that Borrower shall issue to Lender additional Warrants to purchase
up to 20,000 shares of Common Stock for each quarter in which payments are not made monthly, up to a maximum of 62,000 Warrants issued under this

Sadly, I don't think these articles will draw any attention to Lifeloc.  The PR last week produced volume of only a couple hundred shares.  The Cannabix PR on the other hand saw some nice volume and price increase.  It just feels like no one cares anymore.

I agree there shouldn't be dilution, but the recent deal they did was for debt so no immediate dilution. Yes, Vern's deal was dilutive, though it seems like he's willing to dilute if he can get the stock, but for outside investors he keeps the dilution to a minimum.

Agree... But you also have to look at Vern's large purchase, significantly higher than the share price today @ $3.80, and Diamond Bridge warrants are at $4.50, again, significantly higher - as I'm on my second Goombay Smash in the Bahamas.

If Lifeloc needs to raise additional funds for the development/completion of the SpinDx device, I feel like they should work on increasing the share price first. Big difference between issuing shares at a price of let's say $8.00 than it's current price of $3.00. I feel like higher stock prices should be a priority before any additional dilution.

Wouldn't it be nice if the state of Colorado allowed Lifeloc to use the rest of the grant money that it didn't utilize from 10 years ago. Or if they decided to issue Lifeloc a whole new grant to help them cross the finish line? That's the type of news we could use that would bring in some much needed volume to the upside!

I thought the Lifeloc news from Tuesday would have produced more than 600 shares traded considering I was a third of that volume. I also have to imagine that the commitment to finishing the SpinDx project is fully engaged now that they have taken a loan from an outside source.

Do you know how the warrants work? If the warrants are exercised by Diamond Bridge Capital, does that raise any additional funding/capital (62,500 shares x $4.50/share = $281,250) or are those shares gifted to Diamond Bridge from the current outstanding shares? Any chance the warrants trade on the open market?

Kentucky officials remind drivers it's illegal to drive under the influence of marijuana, even if it's legally prescribed.

Don't you think it would be significantly more efficient, cost effective, less time consuming, and more accurate for testing recent use, if you had a $25 roadside test, that could give a quantitative reading for THC in minutes vs. calling in a DRE after a traffic stop (if one's available), relying on subjective observation, and validation from a blood test - that will only confirm THC use within the past several weeks, not hours...? Not to mention the cost of hiring and training Drug Recognition Experts (DRE's).

Lifeloc's device can also protect the person being evaluated for DUI. Say the driver uses marijuana regularly, but has not used in the last few days. A blood test is performed, and comes back positive for THC. The driver is charged, even though he was not under the influence at the time of the traffic stop. Win - Win for everyone...

My guess is that Lifeloc doesn't have the sales and marketing team to get to higher sales than what they forecast. Obviously, if they were to get a marquee customer they could exceed those projections.

I'm currently in the process of booking a cruise, so I can elaborate later. But, in a nutshell, this is a good form of financing - the lender is taking all of the risk, because it's basically unsecured. The interest rate is very reasonable for a commercial business loan, which is only about 1.5% above a current 30 yr mortgage for a well qualified buyer. Both the lender, and Lifeloc seem confident that the loan will be repaid, and it gives Lifeloc a cash reserve for SpinDx rollout. I've stated previously that a stock offering, or solid financing would be welcomed to bring the new device to market. There were key statements in the release, which illustrate Lifeloc's confidence in the device - they basically said it works, now we just need to fine tune everything and prepare for production.

If we compare those projections to the current revenue Hound Labs is producing, I think they set the bar really low.

The question still remains if anyone even cares anymore.

Will I be the only buyer of shares tomorrow? Will we get more than 200 shares traded or are traders/investors not even interested anymore? Will the potential dilution cause selling pressure? Is there anyone who sees this are great news and is willing to purchase some shares? Will we get any more follow-up news releases or do we have to wait until late March again before we hear from them?

Either way, I am grateful for a news release from them. It's almost like they heard my Ihub rant post.

One other thing - At least we now know someone other than the 3 of us and the Kornelsen's have a vested interest in seeing higher stock prices in Lifeloc.

I wonder if Diamond Bridge Capital has the know-how to help push stock prices higher than the warrant price of $4.50/share.

This is the first time I have ever seen Vern Kornelsen make a statement or quote for a PR/News Release:

Since Lifeloc is a global company, and has customers all over the world, sales will probably be dependent on local laws in the country/state they are doing business in.

In the U.S., the Department of transportation (DOT), has set cutoff limits for THC at 4ng/ml for initial test, and 2ng/ml for the confirmatory test. They have a list of other commonly abused drugs, along with their cutoff limits - most of which Lifeloc's SpinDx is said to be able to detect, and will be implemented in the future. https://www.transportation.gov/odapc/part40/40-91

The DOT limits are set for the transportation and pipeline industry - airlines, railways, trucking. There are also mandatory guidelines for Federal workplace drug testing set by the SAMHSA. https://www.federalregister.gov/documents/2023/10/12/2023-21735/mandatory-guidelines-for-federal-workplace-drug-testing-programs

These guidelines by the SAMHSA, have been established for oral fluid drug testing of Federal Employees. As far as driving under the influence of marijuana, each state has it's own laws...

Marijuana Drug-Impaired Driving Laws
18 states have zero tolerance or non-zero per se laws for marijuana.

10 states have zero tolerance for THC or a metabolite.
4 states have zero tolerance for THC but no restriction on metabolites.
4 states have specific per se limits for THC
1 state (Colorado) has a permissible inference law for THC

As marijuana use continues to grow in the United States (more people in the U.S. now use marijuana daily than consume alcohol), impaired driving under the influence of THC has become a growing concern by both society, and governmental regulators. For this reason, states will come under scrutiny to establish stricter regulations regarding DUI of THC. It's my opinion, that most states will eventually adopt the guidelines set in place by both the DOT, and SAMHSA for driving under the influence of THC. Each state will also independently decide confirmatory, laboratory testing of the split oral fluid sample, by utilizing labs chosen for their state.

It's coming... maybe not today or tomorrow, but in the very near future.

Good morning ! I always take all comments and points of view in consideration - whether negative, or positive. I understand, and share your frustration, but you have to understand that management can't simply make fluffy posts and press releases about a product, that have not occurred yet, or are not valid. This would just create a huge legal problem, with investor lawsuits, etc...

Insiders buy and sell stock for many reasons. This company is primarily owned by insiders, and all recent insider trades over many years were all Buys. Due to this large insider ownership, there are very few shares to actively trade on the open market. The handful of retail investors, like the three of us, understand this, and also understand that this creates very low trading volume in the stock. Unfortunately, this very low volume is unattractive to most short term traders - where the stock may not even trade for several days.

As a long term investor, my hopes are that this product comes to fruit. We see increased share price, with increased volume. With product sales, we see large revenue increases, increased investor awareness, increased awareness of the Lifeloc Brand and it's products. Of course, we must first see a viable device, that must meet rigorous standards before it can be marketed and sold. My personal opinion is that this device is near completion, as management has expressed. The testing and validation of this equipment will become the focus in the near term. There will probably be some obstacles to overcome, but as management has stated, they believe the SpinDx Oral Fluid Device will be widely accepted.

Even if we had a marketable oral fluid device to sell 6 months ago, it would be basically useless, until we have certified Labs in the U.S. to verify the readings of the devices split oral fluid sample. To my knowledge, there are still no labs certified for the oral fluid testing of THC in the United States. The certification of U.S. labs for the testing of THC in an oral fluid sample will be an external milestone to the development of the SpinDx device.

The current trend in drug testing is oral fluid. Lifeloc was correct in focusing their efforts, by first developing a device for the detection of THC in oral fluid. There is current training beginning to occur, to train people to train people to do oral fluid testing - basically training the trainers, as well as actual training to certify someone in "oral fluid testing." There are strict protocols that must be met during the testing, with the equipment, as well as the sample for a valid test. To the best of my knowledge, this training is not specific to one kind of a device - although there are standards that each device must meet, such as a utilizing a split sample for lab validation, translucent collection tubes with lot #, etc... If you Google this topic, you will find hours of reading on very current developments in this area. Not only that, but you will also find that many of the trainers in the oral fluid field, are also Lifeloc certified trainers in alcohol testing.

Press releases will come. Public Relations on social media will come - all when due. Until then, patience is the best tool, no matter how frustrating that may be in the short term.

Vern did buy a lot of shares at $3.80 and I don't think he would have unless he believed things would work out. Beyond that I don't know, I agree they could do a lot better on the social media front. There have been a lot of delays, but I think that's typical for a small company that needs more capital. I'm hoping/betting this is the year we see some progress.

Allow me to rant during this post. If you prefer not to hear anything negative then please don't read the following message:

We have asked over and over again for the team at Lifeloc to utilize social media. It's cost effective, easy to do, reaches a worldwide audience, helps to gain exposure, produces results, etc. I know of plenty of small businesses that have utilized tik tok and Instagram to expand their business exponentially and Lifeloc still refuses to put any effort whatsoever into social media.

Lifeloc should be growing it's core alcohol business by at least 10% a year and yet we will probably see the year 2024 with a decrease in sales/revenues. Lifeloc should be a company with easily over $10 million in revenue at this point. The sector is seeing explosive worldwide and domestic growth and Lifeloc is not participating.

In this current stock market bull run, 95% of all other publicly traded companies have performed better than Lifeloc. We sit near 52 week lows and not that far from all-time lows. Wayne Wilkomm may be a wonderful engineer, but I'm not convinced he knows how to run a public company.

As far as the seller camped out at $39.00 with 15,000 shares for sale, it would take an absolute miracle for Lifeloc to trade that high with the current management team in place. I wish you all the best but until we see some changes, we will not get anywhere close to new all-time highs.

It just feels like all interest has been lost in this company. There has not been an article written about them from an outside source in years, buyers of the stock are nowhere to be found, we were basically promised news by the end of last year and nothing, and the earnings reports fail to report any new information. Are we going to get the quarterly earnings report in March only to read that it has been pushed back once again: "The start of beta testing of our SpinDx saliva testing system utilizing the delta-9-THC disks is expected later in 2025 and is projected to result in commercialization of our first SpinDx application in 2026." Are we the crazy "insane" one's expecting that something will be different this time around. This is the 5th year of the same old - same old. The team at Lifeloc has had the prototype of the SpinDx device for 3,000 days and every year it gets pushed back.

Insiders have not purchased any shares in the current $2.00 range. It they were nearing completion, I would expect someone from the team at Lifeloc to make a purchase at these current price levels and keep it supported. If the engineer was finishing up the final touches, don't you think they would purchase some shares here near all time lows?

To the team at Lifeloc technologies - You can do better or we need to see some changes.

I know only 3 or so people will even read this but someone please tell me I'm wrong and this is the year everything works out perfectly for Lifeloc.

LCTC share price now sits approximately 85 cents off of it's 52 week low. It is also currently priced approximately 30% below a recent, large insider buy at $3.80 per share by the company's Chief Financial Officer. The company has huge insider ownership of almost 90% of company, with EDCO Partners owning almost 78% alone... Get it while you can...

Maybe one day we will wake up to news that moves LCTC over 400%.

I am still a bit disheartened about not getting a SpinDx update yet. I feel like the team at Lifeloc owed us at least that much.

I believe the CEO stated that he felt that the device would be widely accepted. As far as accuracy, yes this is important, and I believe from the recent report that they continue to have it down to 10ng/ml, with strives to improve on that. I do not know how the accuracy will compare to it's competitors, but I believe Lifeloc will have the most versatile device, with capabilities to test for a complete panel of drugs of abuse.

I'm sure that Lifeloc has done their testing in-house to evaluate a lot of the variables that can affect the outcomes of the test results, or they would not be releasing a prototype for Beta testing. There's a lot of things that can affect electronic equipment, including temperature, humidity, human error, etc... Most of these variables are rigorously tested in the lab or an environmental chamber - where you can adjust temperature, humidity, etc, and compare results.

I would not expect immediate acceptance of the device, because there is almost always adjustments that need to be made. This is why Lifeloc states that they expect commercialization later in 2025. This could surprise us and be sooner, or could drag out longer. Also keep in mind, that according to Andy Lehman, the majority holder, who is in his 90's, may be willing to basically sell the company for the "right price." At Lifeloc's current Market Cap, it is ripe for a merger or acquisition from bigger players in the field.

There is a limited number of shareholders, from my memory, it's only about 33. These shareholders are most likely long-term investors, vs. short term traders, which, I believe will hold the share price somewhat consistent. Not saying there may be a few spikes up or down, but any spike down would be a buying opportunity in my opinion, and downward pressure would probably be short lived - such as the big volume spike down that we saw back in June, which is when Mr. Lehman probably acquired the bulk of his shares.

I would love to see a news release about roadside testing of the SpinDx device and I hope your scenario plays out.  

Do you have any idea when we can learn about the accuracy of the SpinDx device?  Are we talking something that could be in the 99% or higher category?  When do we find out about false negatives and what can effect the results of the device?   Or is it as simple as yes it's in your system or no it's all clear. 

Do you think Lifeloc could have the most accurate and reliable drug detection device on the market or do the Draegers and Abbott Labs have it already locked down.
