That was from one year ago - where are the two companies that are continuing to negotiate with GVSI - that is more Sharp pumping those certainly aren't facts.

Sharp has a history of filing with the SEC and then withdrawing or he just abandons it.

Sharp filed Reg A+ on 06/12/2020 for FORW.

On 02/28/2022 the SEC declared it abandoned.

"Forwardly, Inc. filed with the Commission an offering statement to qualify an offering of
securities under Section 3(b) of the Securities Act of 1933. The offering statement has been on
file for more than nine months and has not yet been qualified.

In view of the foregoing, it is ORDERED that the offering statement be declared
abandoned on February 28, 2022.

Now Sharp has withdrawn the S-1.

From the S-1:

"We consent to the inclusion in this Confidential Registration Statement on Form S-1 (File No. 333-276129) of our audit report dated March 20, 2024, with respect to the consolidated balance sheets of Forwardly, Inc. as of December 31, 2023 and 2022, and the related consolidated statements of operations, changes in stockholders’ equity (deficit), and cash flows for each of the years in the two-year period ended December 31, 2023. Our report dated March 20, 2024, relating to aforementioned financial statements, includes a going concern paragraph relating to substantial doubt of the Company’s ability to continue as a going concern."

A Form S-1 is a registration statement filed with the Securities and Exchange Commission (SEC) by a company that wants to go public.

What's the purpose of an S-1?
Registers the company with the SEC.

It was filed over a year ago and it was obvious the SEC wasn't going deem the GRDO/FORW S-1 effective.

First, the S-1 was filed so that FORW would become a SEC filer instead of being Dark or a Stinky Pinky.

And it doesn't mean the FORW common stock won't be sold until it trades at a higher price. Why do you post such absurd nonsense?

There is never anything based on the share price being a certain price before they can be sold. You can't exercise a warrant until the Strike price has been hit - and the S-1 doesn't have anything about warrants.

I think we will see much more than a penny... some day... maybe even in 2025. He has a very clean shell with some very loyal shareholders - in nothing but a very clean shell. That doesn't happen often. You all (we) are Sharp's greatest asset in FORW at this time.

All I know is that if Sharp says 2025 is his next target date, he definitely doesn't mean Dec 31, 2024. He probably doesn't mean the first Q. He might mean June 2025. To him, Dec 31, 2025 would be as promised. I think Sharp is very smart and will stand by his word, but I don't think he is in any rush here - or anywhere. I would bet that when he gets in his car, it takes him 10minutes to adjust the seats and the mirror. They will be perfect, mind you, but they were perfect from the last time he drove.

I have occasionally placed offers at the bid and they have been taken - 10k, 30k, maybe 50k at a sitting. I have felt no need whatsoever to buy at the ask. Instead, I accumulate from people who can no longer wait. I now have 1.2mil shares. I hope to have 5mil by the time he has something going here. I'm not in a rush tho.

Only thing that matters is news...

Here's hoping that George retires this year and retires all his tickers by way of major mergers...
