                         Purchase of Shares by Trustee

Under the Warner Estate Holdings 1995 Share Option Scheme ("the Scheme"), the
Trustee of the Scheme today purchased 6,819 Ordinary shares of 5p in the Company
at 326.5p.

Following this purchase, the Trustee is interested in 493,310 shares,
representing 0.92 per cent. of the Company's issued ordinary share capital.

The Executive Directors of the Company are deemed to be interested in these
shares.
