                     TOTAL VOTING RIGHTS AND SHARE CAPITAL



In conformity with the Transparency Directive's transitional provision 6, Warner
Estate would like to notify the market of the following:



Further to the issue of 40,000 ordinary shares of 5p each on 19 October 2007 in
connection with the exercise of share options, Warner Estate's issued share
capital, including treasury shares, is comprised of 56,170,865 ordinary shares
of 5p each at the date of this notice. Of these, 250,000 ordinary shares are
held in treasury.



Therefore, the total number of voting rights in Warner Estate is 55,920,865.



The above figure (55,920,865) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of Warner
Estate under the FSA's Disclosure and Transparency Rules.
