                  Recommended Cash Offer ("the Offer") for
                  Hartlepool Water PLC ("Hartlepool Water")
                                      
Offer declared wholly unconditional

Following the announcement on 11 July by the Department of Trade and Industry
that the Offer will not be referred to the Monopolies and Mergers Commission,
the board of Anglian Water has declared the Offer unconditional in all
respects.  The Offer will remain open for acceptance until 3.00 pm on 16 July
1997.

Robin Gourlay, Chairman of Anglian Water, said:
