    Court confirmation of Reduction of Capital
    FKI plc ("FKI") is pleased to announce that the Court has today confirmed the Capital Reduction required to effect the recommended
acquisition of FKI by Melrose PLC by way of a scheme of arrangement (the "Scheme").
    The suspension of listing and dealings in FKI Shares on the London Stock Exchange and the disablement of shares in CREST occurred at
7.30 a.m. (London time) today. 
    It is expected that the Scheme will become effective on 1 July 2008 and that FKI Shares will cease to be listed on the Official List and
their admission to trading on the London Stock Exchange will be cancelled at 8.00 a.m. (London time) on 1 July 2008.
    Upon completion of the Acquisition, holders of Scheme Shares on the FKI register of members at 6.00 p.m. on 27 June 2008 will be
entitled (subject to elections made under the Mix and Match Facility) to receive 40p in cash and 0.277 of a New Melrose Share for each
Scheme Share held.  A dividend of 3p will also be payable to FKI Shareholders on the FKI register of members at 5.30 p.m. on 27 June 2008.
    It is expected that the New Melrose Shares will be admitted to the Official List and to trading on the London Stock Exchange at 8.00
a.m. on 1 July 2008.
    Settlement of the cash consideration and despatch of share certificates in respect of New Melrose Shares is expected to take place on or
prior to 15 July 2008.
    Capitalised terms in this announcement have the same meaning as in the Scheme Document dated 1 May 2008.
