                             Director Shareholding


On 7 May 2008, the Board awarded Andrew Pendlebury and Andrew Bailey, both
directors of the Company, options over ordinary shares of 1p each in the Company
("Ordinary Shares") at an exercise price of 39p. Andrew Pendlebury was awarded
options over 118,304 Ordinary Shares, of which 51,282 were granted under an EMI
Scheme ("EMI Options") and 67,022 were unapproved options. Andrew Bailey was
awarded options over 16,452 Ordinary Shares, all of which were EMI Options.
These options can be exercised with effect from 7 May 2011.
