ASOS plc ("ASOS" or the "Company")

Director/PDMR Shareholding

On 28 May 2012, ASOS granted an award under the ASOS Performance Share Plan 2006 (the "PSP"), to the Company Secretary, as detailed below. The award comprises of a conditional allocation of ordinary shares of 3.5 pence each in the Company ("Ordinary Shares"), at a value based on the closing price of the ordinary shares on 25 May 2012, being 1709.00 pence per ordinary share. This award will vest on the third anniversary of grant, subject to the satisfaction of the relevant performance conditions set by the remuneration committee.
