Re.         Notice of The  Extraordinary General Meeting of the
              Company to be held on 28th  November , 2005.

By an Order made on the 28th day of October, 2005, the High Court of  Judicature
at Bombay has directed that a Meeting of the Equity Shareholders of the
Company be held for the purpose of considering  and if thought fit, approving
with or without  modification, the Scheme of Amalgamation  of  Damodar Cement &
Slag Limited (DCSL) with The Associated Cement Companies Limited.



In pursuance of the said Order and as directed  therein a Meeting  of the Equity
Shareholders of the Company will be  convened and held on Monday, the 28th day
of November, 2005 at 3.00 p.m. at Birla Matushri Sabhaghar, 19, Sir Vithaldas
Thackersey Marg, Mumbai - 400 020.


The abovementioned Scheme if approved at the meeting will be subject to the
subsequent approval of the Court.


We are sending herewith a set containing  the Notice of the EGM, the Explanatory
Statement and the Scheme of Amalgamation which has been mailed to the
shareholders of the Company.
