  Sub :  Amalgamation of Damodhar Cement & Slag Ltd. (DCSL) and Bargarh Cement
Ltd., (BCL) with the Company





At the Meeting of the Board of Directors held today, the Board approved in
principle, amalgamation of its Subsidiaries, Damodhar Cement & Slag Ltd. (DCSL)
and Bargarh Cement Ltd. (BCL) with the Company.  Appropriate scheme for
amalgamation will be framed and submitted to shareholders for their approval,
subject to compliance of the requisite statutory requirements under the
Companies Act, 1956 and Rules thereunder.
