I forget which year Tony stopped reporting numbers for the "Miscellaneous" line item. All he did was shrink the font of the of the words and kept the numbers the same. At first blush, they almost line up. Until you start drawing lines. Lol.

Unregistered shares by definition are unregistered. If you witnessed the selloff of the 2 big runs circa 2020/21, they were pretty vicious. FWIW, "unregistered shares" is the talk of crazy men. It's rare and I certainly can't prove it. Easy to dismiss my rhetoric as just another internet wacko.

If indeed that is what happened, it must've been the Steve Buscemi-looking lawyer that cooked it up. That sort of financial engineering is way beyond anything Tony or Rex could pull off. They can't even master Google Docs.

Since late 2019, they haven't had an expense figure for the "Miscellaneous" expense. But they kept the line item. The result: 14 line items but only 13 numbers. Lol.

Lots of companies don't break out 4th quarter numbers but they almost always add up when one backs out the other 3 quarters. Not with UPIN. Lot of their 4th quarter line items impute negative numbers for items like revenues, G&A expenses, office costs, and total expenses. They lack the simple sophistication to even make up plausible fake numbers.

The problem with your scenario is the transfer agent verified to me on the phone today that the published share structure is accurate.

What he is charged with happened a year before he took over upin. He is charged personally, the company is not part of the charges.

Anything is possible but I can’t see any unregistered shares as the thing would go weeks without a trade. Milking it as an atm if that’s the case he sucked at it. No, in my opinion he had no clue what he was doing and if you are a stuck holder like myself, I can only hope someone good buys it and operates it well and turns it around.

That's the thing though. This stock has always traded like it had a much bigger float. What I'm alleging is unregistered shares are prevalent. I know saying "unregistered shares" is the kind of thing that dip$hits allege when trades don't go their way. But the amount of shares available to sell into good news was always curious.

We now have first-hand knowledge Tony is willing to commit at least one type of fraud. To go that extra step and commit securities fraud doesn't take a huge leap of faith.

I believe it was you yesterday that asked that if this company is a total fraud, and it is, why not dilute it into oblivion? Maybe he was. Slow milking it into his retirement. Turning $UPIN into a personal ATM.

That would be interesting considering per the filings he has no free trading shares. Actually looks like someone playing games as they traded at .0011, no other trades today were remotely close to that price. The float is not purported it is 21M as verified by the transfer agent today.

I think ~1.5M shares were just dumped. With a purported float of 21M shares, hard to imagine anyone else but an insider with the last name of Chiu being the culprit.

Meaning what? The filings show under Chiu’s direction very little free trading shares were issued and none in the past couple of years. BTW 21 million float in pinky land is nothing! Hopefully he will sell the company to someone who’s knows what they are doing.

$UPIN President & CEO Tony Chiu is resigning effective immediately to address the allegations against him. The allegations referred to are not related to the company. Mr. Chiu will relinquish his controlling interest in the company as well. Ivy So will act as interim President.

Being an alleged crook and all, what I don’t get is why then he didn’t dilute the crap out of the stock? He hasn’t issued any free trading shares in years and the float is only 21 million?

Tony Chiu lives at 259 Frank Avenue in Mineola. His son Calvin lives at 12 Library Lane, Plainview.
When Ivy So was given shares a few months back (without indicating she is his wife), her listed address was 12 Liberty Lane, Plainview, New York. There is no 12 Liberty Lane. He's about as corrupt as they come.

Fair enough. I can understand being impatient as we have all been there at some point in our trading career but this share structure is insane. I’ll continue to hold as long as it takes.

Seems like impatience selling from people that were trying to “play” the share cancellation. The share cancellations always take a long time though from past experience. Share price wouldve prolly held up better if the company hadnt communicated it so early or just didnt announce it until it actually went through.

Who in the world is dumping shares at these levels? I can’t seem to find anything bad regarding this ticker. I can’t believe it’s hitting all time lows lol 🤦‍♂️

$UPIN Regarding all inquiries we have received about new shares being issued, there has been none issued of any class since our last filings, that will also be reflected as the same (unchanged) in our upcoming annual disclosure report.

Been holding my upin for 4 months now and I'll hold as long as it takes. For Cos in $1m+ MC range, haven't seen fins this great since bmxi of June 2022.

They've executed a share buyback before in their history, so it gives me confidence they'll follow through on this next one, which will reduce their MC to $450k. If xall (another holding Co with good fins) can run from $2m MC to $14m, upin can make a similar move.

Yeah I get it, some can't get over the fact that it's a jeans Co. How about this, they also own the shipping Co that ships product from Asia to Ross, TJ Maxx, and other outlets in the States.

They've shown the desire to diversify by publicizing their acquisition of that drone tech that propels it by sound waves. We'll see about that one, but what matters is the desire to diversify, and even better, they are one of the little few who can pay for their acquisitions with CASH.

Gotta say, $UPIN is holding up better than expected. When compared to the overall OTC and other like-kind stocks, it's doing well to consistently tread water over the $0.02 range.
