ALTIUS INVESTMENT IN VIRGINIA MINES GENERATES TOTAL PROCEEDS OF $41 MILLION

St. John’s - Altius Minerals Corporation reports that it has completed the divestiture of a shareholding that it held in Virginia Mines Inc (“Virginia”).

The Company began acquiring these shares in 2011 for investment purposes and in November 2014 it agreed to enter into a support agreement with respect to a proposed combination of Osisko Gold Royalties Ltd (“Osisko”) and Virginia. This transaction was approved by shareholders in January. Total proceeds to Altius from the divestiture were approximately $41 million for an investment return of more than 75%.

Altius wishes to congratulate the board and management of Virginia for successfully completing the business combination with Osisko and creating significant value for its shareholders. While it believes that the combination of these two companies has created a very strong new entrant within the precious metals royalty sector that will continue to generate value for its shareholders, Altius elected to dispose of its shares in order to strengthen its balance sheet as it continues to focus on opportunities within the diversified mining royalty sector.

Altius completed an acquisition of a portfolio of 11 producing mine royalties in May, 2014 and as part of the acquisition financing it took on a starting debt position of $140 million. The receipt of these proceeds reduces Altius's current net debt (debt minus cash) position to approximately $62 million. In addition, its remaining portfolio of direct and indirect equity investments has a current market value of approximately $36 million.

Summary

Altius Minerals was too focused on iron ore and the drop in the iron ore price reduced the value of its Kami royalty.
The company bought an extensive royalty portfolio from Sherritt International, diversifying away from iron ore into potash and coal.
This was a very cheap acquisition, at just 9 times the trailing 12 month cash flow.
Altius' current fair value is approximately 40% higher than the current share price.
Introduction

It's been a while since I held Altius Minerals (OTCPK:ATUSF) against the light and now the iron ore price has crashed to a double-digit price range, I think it's a good idea to revisit this company to see whether or not it'd still be interesting to put some money in.

ALTIUS CLOSES ACQUISITION OF PRAIRIE ROYALTIES and CDP PORTFOLIO - Altius Emerges as Canada’s Leading Diversified Minerals Royalty Company

St. John’s - Altius Minerals Corporation (“Altius”) is pleased to announce that it has completed the previously announced Arrangement for the acquisition of a portfolio of 11 producing coal and potash royalties from Prairie Mines & Royalty Ltd. (“Prairie Royalties”), a wholly-owned subsidiary of Sherritt International Corporation (“Sherritt”). The acquisition was completed in partnership with Liberty Metals & Mining Holdings, LLC, a subsidiary of Boston-based Liberty Mutual Insurance, and the Chairman of Haywood Securities Inc. and certain of his affiliated trusts. The Prairie Royalties will be proportionately owned according to each partner’s respective share of the total $460 million acquisition price of which Altius’ 52.36% was $240.9 million. Altius will act as the general partner of the limited partnerships holding the royalty interests and will manage the day-to-day affairs of the royalty business.

Altius has also completed the acquisition of Sherritt’s 50% interest in Carbon Development Partnership (“CDP”) for $21 million and has entered into a definitive agreement with a subsidiary of Ontario Teachers’ Pension Plan Board to acquire their remaining 50% interest in CDP for an additional $21 million within 30 days.

As part of its acquisition financing Altius has entered into a $140 million 5-year secured credit facility with a syndicate of lenders that includes Sprott Resource Lending Corp., Earlston Investments Corp. and the Chairman of Haywood Securities Inc. and certain of his affiliated trusts.

Altius CEO Brian Dalton commented on the transaction completion by saying: “This represents the achievement of a multi-year goal that the board and management of Altius set for itself to develop scale in the minerals royalty sector.
