The Company is unable to file its quarterly report on Form 10-Q for the three months ended November 30, 2022, within the prescribed time period due to a combination of factors, including in significant part the delay in filing the Company’s Annual Report on Form 10-K, as amended by its Form 10-K/A, and the Company’s transitioning between persons fulfilling the role of Chief Financial Officer.
