Looks like you were correct.

Interesting thought and I suppose plausible but I am out and intend to stay that way. The short position is only .04% of the float so there is little chance for a squeeze of any significance and tying up that much for so little for an undetermined amount of time is just not reasonable to me at this time. I took my profits about a week too early but they were profits and I have no sour grapes so to speak, just an over abundance of caution on such a poorly worded offer.

Why is the offer Unsolicited, non binding ? Yo Yo Jo blow offers 5 dollars a share none binding(don't hold me to it after i dump my stock)...management responds while we sell our shares we shall think about it with the board of directors.The smell test, here is a link to some folks waiting on the buy out to....with that said lets hope its all real......Santa Claus

I am just looking at the offer. The offer is to buy all out standing shares, not the company at $4.00 a share. Other than the float which is on the open market that leaves restricted shares.
Basically what I am saying is the wording of the offer does not pass the smell test. First off the offer is from a Chinese company; if we know anything about the Chinese it is there efficient use of time, they take forever and would just buy shares on the open market at ever decreasing prices until they owned the float; then they might make their offer to buy the company at distressed prices.
One thing about this company is the majority of the shares are restricted and held by management they sell these shares upon the removal of the restriction once again tanking the price.
Prior to its current owners the company belonged to an Ethanol producer (Green Company Scam) that went broke and the Chinese have been involved for a little over a year now.
It just does not pass any sort of smell test to me especially since it is a Delaware registered company; I trust very few companies registered in Delaware as it is just too easy to hide your business and shareholders loose everything in a Delaware bankruptcy court.

I've never followed this before the private offer news and i don't own any shares...

Sorry I may be wrong but I think it is a bunch of BS. Why would a company make an offer of double the market price with out sucking up all the market shares first?
I took my profits last month and I am out, no sour grapes here but just stop and think about it, the insiders have been selling at every opportunity and will not jump on an offer of double what they can get toay?

Maybe it’s just me but I thought the 10K looked pretty good; profits are up sales are up and net loss per shares is down from (.10) to (.02)
Combine that with the large intellectual property portfolio and the still growing company with plenty of opportunity ahead why does the price continue down?

The company has not had anything to do with Ethanol for quite some time.

Looks like tthree of the corp. officers were busy picking up shares at $2.15 fully vesting in 2014.

Welcome to I Hub, I never disclose prices but I did well too. Looking to sell in the $3.25 +/- range in the next month or so. Just looks like a good guess from the chart, seems to be the high side of average price.

All of the analysis I have read, the market is bullish on this stock. As you can see it has not had a lot of attention around here for some time. Probably some sour grapes but that was clearly a different company and owners.

I got it at 2.38 on the way down.

Anyone left out there watching this one? could be some pretty good short term gains.

I am a mems shareholder....I got some AENS at the same time....You should check it out.Will continue to hold MEMS...but trying to add more AENS....they are really moving.

LOS ANGELES--(BUSINESS WIRE)--May 2, 2006--MEMS USA, Inc. (a.k.a. CONVERGENCE ETHANOL, Inc.), (OTCBB: MEMS - News), an engineered systems and ethanol project developer, announced that its Canadian project, Hearst Ethanol One, Inc. ("HEO"), acquired a 720 acre ethanol plant site. Also purchased was an inventory of more than 2.0 million tons of biomass (wood chips) to feed its ethanol refinery. The site has 5 contiguous parcels of real property (no liens or encumbrances) in the village of Hallebourg, located 7 miles east of the northern Ontario town of Hearst. On one parcel is a fully certified, bonded and operational government licensed biomass storage area. The on-site inventory of biomass purchased in this transaction will produce more than 200 million gallons of ethanol, which at current market price ($2.68 per gallon) would be worth more than $536 million.

HEO has identified 29 other biomass storage areas within 65 miles of its site, adequate to supply the plant for 20 years. The property also contains a rock quarry to provide aggregate for plant construction. The site offers excellent access to transportation via the immediately adjacent TransCanada Highway, TransCanada Natural Gas Pipeline, and Northern Ontario Railway (ONR).

Plant operation will begin within 30 months of full funding. The HEO facility will cost $310 million to build and will produce 120 million gallons of ethanol per year. It will employ 230 people full time when completed.

In December 2005 MEMS USA announced it had formed a Canadian corporation, Hearst Ethanol One, Inc., for the purpose of constructing this biomass-to-ethanol plant. (See 8K announcement dated December 21, 2005 and press release on January 4, 2006).

CONVERGENCE ETHANOL, Inc. announced its intent to change its name from MEMS USA, Inc. (See press release dated April 5, 2006).

A pure Ethanol play. This thing could really run. The increase in volume is outrageous and ethanol is the near future and beyond. If oil reaches a $100 or more this puppy will move up to around $50.00 a share. Do your own DD. I know I'm just a pumper.

Ditto that! I'm looking for a good ethanol microcap for a buy and hold. Without knowing anything about MEMS, this looks like a poor day to be buying.
