LETTER TO COMPANY ANNOUNCEMENTS OFFICE:

Further to the announcements made on 24th December, 1997 and 2nd March, 1998,
Worldsec today announces that it has received regulatory approval and has
completed the acquisition of the futures broking business of Jin Loong Futures
Limited.  Cash consideration of HK$4.05 million (equivalent to approximately
US$0.52 million) has been paid.

In order to complete all aspects of the acquisition of the securities broking
business of Jin Loong Securities Company Limited and the futures broking
business of Jin Loong Futures Limited, Worldsec is obliged to pay further
consideration of approximately HK$1.1 million in cash for the fixed assets of
Jin Loong and to issue ordinary shares in Worldsec at US$2.90 per share amouting
to approximatly HK$10.5 million (equivalent to approximately US$1.36 million).
A further announcement will be made when the number of shares to be issued is
determined.
