                            Directors' Shareholdings



Following the release of shares held in trust for the required three years under
the Company's Profit Sharing Scheme, 1,024 Ordinary shares in the Company were
transferred into the name of Mr. P C T Warner, Chairman of the Company, on 2
July 2004. The shares were previously held on his behalf by Warner Estate
Trustees Limited, the Trustee of the Company's Profit Sharing Scheme. Following
the transfer Mr Warner has a beneficial interest in 895,899 shares, representing
1.76 per cent. of the Company's issued ordinary share capital. Mr Warner has no
more shares held in Trust under the Company's Profit Sharing Scheme. Mr Warner's
other interests are unchanged as a result of this transfer.



Following the release of shares held in trust for the required three years under
the Company's Profit Sharing Scheme, 1,067 Ordinary shares in the Company were
transferred into the name of Mr. P W Collins, Finance Director of the Company,
on 2 July 2004. The shares were previously held on his behalf by Warner Estate
Trustees Limited, the Trustee of the Company's Profit Sharing Scheme. Following
the transfer Mr Collins has a beneficial interest in 13,968 shares, representing
0.027 per cent. of the Company's issued ordinary share capital. Mr Collins has
no more shares held in Trust under the Company's Profit Sharing Scheme. Mr
Collins' other interests are unchanged as a result of this transfer.



This was the last release of shares appropriated under the Company's Profit
Sharing Scheme. Warner Estate Trustees Limited, the Trustee, still holds a total
of 175 unappropriated shares.
