                            Directors' Shareholdings


Following the release of shares held in trust for the required three years under
the Company's Profit Sharing Scheme, 1,842 Ordinary shares in the Company were
transferred into the name of Mr. P C T Warner, Chairman of the Company, on 22
March 2004. The shares were previously held on his behalf by Warner Estate
Trustees Limited, the Trustee of the Company's Profit Sharing Scheme. Following
the transfer Mr Warner has a beneficial interest in 894,875 shares, representing
1.76 per cent. of the Company's issued ordinary share capital. 1,024 shares
remain held in Trust under the Company's Profit Sharing Scheme in the name of Mr
Warner, representing 0.002 per cent. of the Company's issued ordinary share
capital. Mr Warner's other interests are unchanged as a result of this transfer.


Following the release of shares held in trust for the required three years under
the Company's Profit Sharing Scheme, 1,895 Ordinary shares in the Company were
transferred into the name of Mr. P W Collins, Finance Director of the Company,
on 22 March 2004. The shares were previously held on his behalf by Warner Estate
Trustees Limited, the Trustee of the Company's Profit Sharing Scheme. Following
the transfer Mr Collins has a beneficial interest in 12,901 shares, representing
0.025 per cent. of the Company's issuedordinary share capital. 1,067 shares
remain held in Trust under the Company's Profit Sharing Scheme in the name of Mr
Collins, representing 0.002 per cent. of the Company's issued ordinary share
capital. Mr Collins' other interests are unchanged as a result of this transfer.


Following the release of the second appropriation of shares under the Company's
Profit Sharing Scheme, Warner Estate Trustees Limited, the Trustee, holds a
total of 9,622 Shares representing 0.019 per cent. of the Company's issued
capital.
